Health Midwest
We started our health law practice in 1982 representing Research Medical Center and helping it grow from one hospital into the largest health care delivery system in the Kansas City area known as Health Midwest. Our work culminated with our lead role as transaction counsel in the sale of Health Midwest to Hospital Corporation of America (HCA) in 2003 for $1.125 billion, the largest conversion of a nonprofit hospital system in U.S. history at that time.
Nonprofit Hospitals Joining Regional Health System
When nonprofit hospitals merge and change governance control, the parties need experienced legal counsel to guide through the involved requirements. Our health care attorneys have performed these transactions numerous times.
Ballad Health
Our health care attorneys played a critical role in the creation of Ballad Health, first by helping it build a large integrated health care system in Northeast Tennessee and Southwest Virginia known as Mountain States Health Alliance and then by helping complete its merger with Wellmont Health System to form Ballad Health in 2018 under unique Tennessee and Virginia legislation that allows competitors to combine when the state determines the benefits outweigh any harms. Today, we provide Ballad Health with legal advice on a wide range of topics including mergers and acquisitions, physician employment, health care law compliance, working and contracting with independent physician groups, ownership and operation of ambulatory surgery centers, participation in new payment models, such as Accountable Care Organizations and bundled payment programs, and participation in provider networks.

When physician practices decide to sell to hospitals or health care systems, effective representation is necessary to achieve the optimal start to the new relationship. Our health care attorneys have represented both hospitals and physicians in many of these transactions, so we know what is important to both parties and how to achieve common ground.
